Greenfield is mandated by a leading international Asset Management Company to recruit a Senior Legal Officer for its Luxembourg office.
Our client is a reputable and fully licensed Management Company with a strong international presence and a diversified portfolio of UCITS, Alternative Investment Funds, Real Estate Funds and Private Equity Funds.
The company is seeking an experienced legal professional to join its Luxembourg office. This position offers broad exposure to fund governance, international distribution activities, regulatory matters and cross-border legal projects within a collaborative and dynamic environment.

The role
 
  • Supporting the day-to-day legal activities of the Management Company and its investment funds.
  • Acting as a key point of contact with regulatory authorities where required.
  • Liaising with service providers regarding regulatory monitoring initiatives and industry developments.
  • Providing legal advice and support to senior management, board members, internal stakeholders and affiliated group entities.
  • Drafting, reviewing, negotiating and managing a wide range of legal agreements and contractual documentation.
  • Negotiating marketing and distribution agreements with counterparties across Europe and international jurisdictions.
  • Overseeing the legal and regulatory framework applicable to UCITS and AIF structures, including Real Estate and Private Equity Funds.
  • Identifying and mitigating legal risks while ensuring compliance with applicable regulations and best practices.
  • Reviewing legal aspects related to fund marketing and distribution activities across multiple jurisdictions.
  • Contributing to the enhancement of internal policies, procedures and governance frameworks.
  • Monitoring and updating policies and procedures allocated to the Legal and Corporate Governance function.
  • Collaborating with external law firms, auditors, service providers and business partners in Luxembourg and abroad.
  • Preparing legal and governance reporting for senior management and relevant group stakeholders.
  • Drafting and coordinating board minutes, circular resolutions and shareholder resolutions.
  • Supporting the organisation of Board of Directors and Management Committee meetings, including agenda preparation, board packs and minute drafting.
  • Managing matters relating to Directors & Officers insurance and associated annual renewal processes.
  • Handling ad hoc legal, regulatory and corporate governance matters as they arise.

Your Profile
 
  • 8 years of relevant experience within the Luxembourg investment fund industry.
  • Qualified lawyer within the European Union.
  • Previous experience within a fully licensed Management Company is considered a strong advantage.
  • Solid knowledge of UCITS, AIFs, fund governance and the Luxembourg regulatory environment.
  • Proven experience negotiating distribution, marketing and commercial agreements with international counterparties.
  • Strong understanding of corporate governance principles applicable to investment structures.
