Senior Corporate Officer  

We are partnering with a growing investment platform to appoint a Senior Corporate Officer to its Luxembourg team.

This is a newly created, visible, and hands-on position for an experienced corporate professional who enjoys taking ownership, working closely with senior stakeholders, and building effective processes in a fast-paced environment. You will play a central role in supporting the governance and corporate administration of a substantial portfolio of Luxembourg SPVs.

The opportunity

You will join an entrepreneurial and growing in-house team that is bringing the oversight of its Luxembourg fund and holding structures closer to the business.

As the first dedicated corporate hire in this area, you will have real autonomy from day one. You will work directly with directors, finance and tax colleagues, external legal advisers, fund administrators and notaries to ensure that corporate actions are properly coordinated, executed and documented.

This is not a legal-drafting role. Instead, it is an opportunity to take ownership of corporate documentation, governance processes, signature workflows, board support and notarial coordination across a portfolio of more than 150 Luxembourg entities.

Key responsibilities
  • Manage the full corporate-documentation cycle across a portfolio of Luxembourg SPVs, from document intake and review through to signature, dispatch, filing and record retention.
  • Coordinate electronic and wet-ink signature workflows, including DocuSign, director availability, powers of attorney and outstanding actions.
  • Carry out practical document checks before execution, ensuring the correct entity, signatories, dates, approvals and supporting documentation are in place.
  • Identify and escalate discrepancies, missing information, incomplete documentation or execution issues.
  • Coordinate board and shareholder meetings for Luxembourg SPVs, including scheduling, agendas, board packs, meeting logistics, draft minutes, written resolutions and follow-up actions.
  • Coordinate notarial appointments and corporate actions, including incorporations, capital changes, restructurings and powers of attorney.
  • Liaise directly with notaries and external advisers, ensuring that execution and deed files are complete ahead of appointments.
  • Maintain corporate records, entity files, minute books, share registers, powers-of-attorney records, RCS/RBE updates and the corporate calendar.
  • Coordinate relevant corporate filings and support annual accounts approvals alongside finance, tax and external service providers.
  • Help design and improve processes, templates, trackers and controls as the corporate function develops.

Your profile
  • At least 5 years of relevant experience in Luxembourg corporate administration, corporate governance, company secretarial work, SPV administration or corporate documentation.
  • Strong practical knowledge of Luxembourg corporate structures, RCS/RBE filings, share registers, resolutions, minutes, powers of attorney and notarial processes.
  • Proven experience dealing directly with Luxembourg notaries and coordinating corporate actions.
  • Highly organised, detail-oriented and able to manage several parallel matters without losing control of deadlines.
  • Comfortable working autonomously and taking responsibility for resolving day-to-day corporate-administration matters.
  • Confident communicating with senior stakeholders, directors, external counsel and service providers.
  • Fluent in English and French; German would be an advantage.
  • Based in Luxembourg or the Greater Region, with the ability to work on site in Luxembourg.
  • A legal qualification is welcome but not essential. Practical experience, sound judgement and the ability to run a corporate-administration workflow independently are more important.
