About the Opportunity
Our client is a well-established international asset management group with a strong European presence. As part of the continued development of its Luxembourg Management Company, we have been mandated to identify an experienced Senior Legal Counsel specialising in investment funds.
This is a senior legal position offering broad exposure across fund structuring, corporate governance, regulatory matters and strategic business initiatives. The successful candidate will work closely with senior management and cross-functional teams, providing pragmatic legal advice while supporting the continued growth and evolution of the Management Company. The role combines technical expertise with hands-on execution in a collaborative and international environment.

The Role
- Provide legal advice across investment funds, corporate governance, financial services regulation and general commercial matters.
- Support the structuring, launch and ongoing management of a wide range of investment funds, including UCITS and alternative investment vehicles.
- Draft, review and negotiate legal documentation, including fund documentation, commercial agreements, service provider contracts and corporate documents.
- Partner closely with Product Management and other business functions on the development and enhancement of investment products.
- Advise on regulatory developments affecting the Management Company and ensure continued compliance with Luxembourg and European regulatory frameworks.
- Act as a key legal partner on strategic business initiatives, new product launches and corporate projects.
- Maintain relationships with regulatory authorities and support regulatory filings and interactions where required.
- Oversee corporate governance matters for the Luxembourg Management Company and its European branches, including board documentation and corporate records.
- Collaborate with Compliance, Risk and other control functions to ensure legal and regulatory requirements are appropriately addressed.
- Manage external legal counsel on specialist matters and oversee legal support for litigation or disputes when required.
- Deliver legal guidance and training to internal stakeholders on regulatory developments and legal best practices.
- Contribute to the continuous improvement of legal processes, governance frameworks and internal documentation.
The Person
Essential Experience
- Master's degree in Law, preferably with a specialisation in Corporate, Business or Financial Law.
- Approximately 8–15 years of legal experience within Luxembourg investment funds, ideally gained in a Management Company, asset manager, depositary bank or leading financial institution.
- Strong expertise in Luxembourg investment fund structures, including UCITS and Alternative Investment Funds.
- Excellent knowledge of Luxembourg corporate law and European regulatory frameworks applicable to investment funds.
- Proven experience supporting fund structuring, product development and ongoing fund governance.
- Experience drafting and negotiating complex legal documentation in both English and French.
- Previous in-house experience within the asset management industry is highly desirable.
- Fluency in English and French is essential. Additional European languages would be considered an advantage.
- Strong technical legal expertise combined with a pragmatic and commercial mindset.
- Hands-on approach with the ability to operate independently and take ownership of complex legal matters.
- Excellent analytical, drafting and problem-solving skills.
- Strong organisational abilities with exceptional attention to detail.
- Effective communicator with the ability to build trusted relationships across multidisciplinary teams.
- Collaborative, adaptable and comfortable working in a fast-paced international environment.
- High level of integrity, discretion and professional judgement when handling confidential matters.
