LEGAL COUNSEL, ASSOCIATE (GER) – INVESTMENT MANAGEMENT COMPANY - NT817
Our client is a Luxembourg-headquartered investment and asset management platform operating across several major European jurisdictions. The company provides asset management, corporate management and related support services across a broad range of investments, working closely with one of the world’s largest alternative investment managers.
The organisation has an established European footprint and brings together professionals across legal, compliance, finance, asset management, portfolio management, technology and corporate functions. The Luxembourg legal team is particularly experienced and stable, with several senior lawyers having worked together for more than a decade.
The company is now looking to strengthen this team with a Legal Counsel at Associate level. The objective is to bring in a more junior lawyer who can develop within the team, support experienced legal professionals across different areas and progressively take ownership of more complex matters.
The role offers exposure that is relatively uncommon for an in-house legal position in Luxembourg. Rather than focusing primarily on entity administration or back-office legal work, the successful candidate will work directly on transactions, lending matters, financing structures, restructurings and broader investment-related topics across the full lifecycle of investments.
THE MANDATE:
The Legal Counsel will support senior lawyers across financing, lending and investment matters in several European jurisdictions.
The role combines transactional work with broader corporate, governance and regulatory topics, offering varied exposure and the opportunity to progressively develop greater autonomy.
Provide legal support across lending, debt, acquisition, disposal, restructuring and refinancing transactions.
Assist with the review, drafting and negotiation of financing documentation, security packages, corporate agreements, NDAs, service agreements and other commercial contracts.
Develop a strong understanding of banking and lending transactions, including the respective interests of lenders and borrowers and the documentation required throughout the transaction lifecycle.
Support senior lawyers on German-related legal matters, including the review and understanding of German legal documentation and interaction with notaries, authorities and external advisers.
Advise on corporate, legal and regulatory matters affecting investments across Luxembourg, Germany and other European jurisdictions.
Work alongside investment, asset management, finance and other internal teams on ongoing portfolio matters and strategic initiatives.
Support corporate governance activities, board matters and the management of entities across the wider investment platform.
Coordinate with external law firms and legal advisers across multiple jurisdictions.
Identify legal and regulatory issues and contribute to practical, commercially focused solutions.
Assist on compliance, AML, governance and internal policy-related matters when required.
Support transactions and projects throughout the full investment lifecycle, progressively taking greater ownership as technical knowledge and experience develop.
Contribute flexibly across the legal function as investment activity evolves across jurisdictions and strategies.
THE PROFILE:
Essential experience
Qualified lawyer, ideally with approximately 1 to 3 years of post-qualification experience, although other relevant levels of experience may be considered.
Previous experience in banking, finance, lending or transactional work, with a good initial understanding of how financing transactions are structured.
Exposure to legal documentation linked to loans, debt instruments, security packages or other financing arrangements.
Experience gained within a recognised law firm would be particularly relevant, ideally within a banking, finance or transactional practice. In-house experience within a bank or financial institution would also be considered.
Fluent English combined with German at a level sufficiently strong to review legal documentation and communicate confidently on legal matters.
Good understanding of the investment lifecycle and a genuine interest in developing further exposure to transactions, investment management and financing.
Able to communicate legal concepts clearly and practically to both legal and non-legal stakeholders.
Professional, reliable and detail-oriented, with strong ethical standards and sound judgement.
Strong asset
Experience gained in a leading international or Luxembourg law firm, particularly within banking and finance.
Prior exposure to German legal drafting or German transaction documentation.
Previous experience working on cross-border matters involving several European jurisdictions.
Broader exposure to restructurings, acquisitions, disposals, refinancing or asset-backed transactions.
An entrepreneurial mindset and the ability to operate comfortably in a flat, collaborative environment where responsibilities are not rigidly divided between team members.
THE OFFER:
Direct exposure to lending, financing and investment transactions
The opportunity to work across the full lifecycle of investments
Close collaboration with highly experienced senior lawyers
Significant on-the-job training and the ability to progressively assume greater responsibility
Exposure to multiple European jurisdictions and different investment strategies
A genuinely flat and collaborative legal team with limited internal competition
A highly stable working environment with strong tenure across the legal function
The possibility for the role to evolve over time according to business needs, individual capabilities and areas of interest
A differentiated alternative for lawyers looking to move away from traditional law-firm career structures while retaining high-quality transactional exposure
