Our client is a leading global alternative investment firm active across private equity, real estate, and credit strategies. The Luxembourg office plays a key role in supporting a broad range of entities and structures, with a strong focus on governance, regulatory compliance, and corporate lifecycle management. To strengthen this platform, the company is looking to hire a Senior Associate within its Corporate Officer / Corporate Secretarial Services team.
The Role: Corporate Governance & Secretarial Management
Take ownership of the full corporate secretarial administration of Luxembourg entities, ensuring statutory records, filings, and regulatory obligations are handled accurately and on time
Oversee key formalities such as RBE updates, RCS filings, legalisations, and the maintenance of entity records across the full corporate lifecycle, from incorporation through to liquidation
Coordinate board and shareholder governance processes, including the preparation of agendas, review of supporting legal documents, drafting of minutes, and follow-up on decisions and action points
Help reinforce and further develop internal governance frameworks, policies, and procedures in line with evolving legal and regulatory expectations
Contribute to the consistency and quality of governance practices across the organisation by supporting standardisation efforts
Act as a key contributor on corporate transactions, working closely with Legal, Finance, and Portfolio teams on investments, disposals, and restructurings to ensure governance requirements are properly addressed
Serve as a reliable point of contact for board members and both internal and external stakeholders, ensuring clear and professional communication across all governance matters
Participate in, and at times lead, broader governance and compliance-related projects across the group
Provide support and guidance to junior colleagues, helping promote knowledge sharing and continuous improvement within the team
Assist with KYC and AML-related requests by coordinating information flows with internal teams, service providers, and banking counterparties
Support treasury-related processes such as the opening and closing of bank accounts and the administration of online banking platforms
Work in close collaboration with colleagues across the platform in a hands-on and integrated manner
The Profile:
Degree in Business Law, or equivalent practical experience gained in corporate secretarial or corporate administration functions
Around 7 years or more of relevant experience in corporate administration, company secretarial, or legal roles in Luxembourg
Prior exposure to private equity or alternative investment structures would be a strong advantage
Strong understanding of Luxembourg corporate law and the regulatory environment applicable to investment structures
An ILA qualification, whether completed or in progress, or a similar professional certification, would be highly valued
Excellent organisational skills, with the ability to manage competing priorities and tight deadlines in a fast-paced setting
High attention to detail and a disciplined approach to documentation and follow-up
Proactive and solution-oriented mindset, with the willingness to take ownership and improve existing practices
Comfortable working across functions and building effective relationships with a range of stakeholders
Strong command of Microsoft Office tools, including Word, Excel, Outlook, and Teams
Fluent in English, both written and spoken; French or another European language would be considered an asset
