CORPORATE SECRETARY (MANAGER) – INVESTMENT COMPANY


Our client is an international investment platform with operations in Luxembourg, Amsterdam, and London. The firm brings together legal, financial, and operational expertise to provide first-class corporate management and governance services to complex investment structures across Europe. With a strong focus on real estate, private credit, and equity, the company supports investors by combining technical excellence with a collaborative approach.

To reinforce its Luxembourg team, the company is now seeking a Corporate Secretary at Manager level. This role provides an exciting opportunity to work on diverse assets across Europe, including office, residential, commercial, and logistics properties, and to collaborate with internal stakeholders as well as international teams.


The Role:
  • Take ownership of corporate governance processes, ensuring compliance with both internal procedures and Luxembourg regulations, and providing guidance to colleagues on governance-related matters
  • Organise, convene, and facilitate board and shareholder meetings, prepare meeting packs, attend sessions, and draft accurate minutes
  • Support investment transactions by reviewing and preparing standard corporate legal documents in line with local legal requirements
  • Manage the incorporation of new entities as well as the liquidation and dissolution of existing ones
  • Ensure company registers and statutory records are maintained and updated promptly
  • Coordinate and execute regulatory filings and official publications within statutory deadlines
  • Maintain accurate corporate data in electronic systems and ensure records are kept up to date
  • Handle AML, KYC, and compliance requests from both internal teams and third-party stakeholders
  • Build strong working relationships with internal teams, external advisors, and governance professionals across the wider group

The Profile:
 
  • University degree in Law or a recognised company secretarial qualification is required
  • Between 4 and 8 years’ professional experience in a similar role within the fund industry or a trust/corporate services provider in Luxembourg
  • Solid knowledge of Luxembourg corporate law and regulatory frameworks, with particular strength in corporate governance matters
  • Strong organisational and administrative abilities with an eye for detail and accuracy
  • Excellent interpersonal and communication skills, capable of developing trusted relationships with colleagues and third parties
  • Proactive, committed, and results-driven, with the ability to prioritise and meet deadlines
  • A collaborative team player who can also work independently and assume responsibility
  • Fluent in English, both written and spoken
